Terms of Service

These Terms of Service ("Terms") govern your access to and use of Vistalia, a service operated by EstateMotion LLC, an Arizona limited liability company doing business as Vistalia ("Vistalia," "we," "us," or "our"), including the website, applications, APIs, and rendered video output (collectively, the "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. Who can use Vistalia

You must be at least 18 years old and able to form a binding contract under the laws of your jurisdiction. Vistalia is built for licensed real estate professionals and the brokerages that employ or contract with them. By using the Service to market a real estate listing, you represent that you have the legal right to market that listing and to use the photos you upload.

2. Your account

You are responsible for keeping your sign-in credentials secure and for any activity that happens under your account. Notify us immediately at support@vistalia.ai if you suspect unauthorized access. You may close your account at any time from Settings → Sign out → Delete my account.

3. Free first video

New accounts may render their first listing video at no charge and without a payment method on file. The free video must be rendered within 7 days of creating your account; after that window, or after your free video is used, rendering additional videos requires payment as described in Section 4. We may modify the free-video offer for future signups; an offer already extended to your account will not be retroactively changed.

4. Plans, pricing, and payments

4.1 Plans.

After your free first video, you may continue on a monthly or annual subscription plan (each plan includes a set number of rendered videos per billing cycle), or pay per individual video without a subscription. The current plans, included video quantities, and prices are listed on our pricing page, which supersedes any other reference. Included videos reset each billing cycle and do not roll over unless stated otherwise on the pricing page.

4.2 Billing and auto-renewal.

Subscriptions are billed in advance — monthly or annually, depending on the plan you choose — and renew automatically until canceled. You can cancel at any time from Settings → Manage subscription; cancellation takes effect at the end of your current billing cycle and you keep access until then. Pay-per-video purchases are one-time charges with no renewal.

4.3 Payment processing.

Payments are processed by our third-party payment processor, Stripe. By subscribing or purchasing, you authorize us, acting through Stripe, to charge your selected payment method for the plan or video you buy. Your payment is also subject to Stripe's own terms. We never receive or store your full card details.

4.4 Refunds.

Subscription and per-video fees are non-refundable except where required by law. If a render fails for reasons attributable to us (for example, a worker outage or a render-side hallucination you flag within 24 hours), we will re-render or credit a replacement video at no charge.

4.5 Price changes.

We may change plan or per-video pricing. For subscriptions, we will give at least 30 days' notice by email before a change applies to your renewals, and you may cancel before it takes effect. Price changes never apply retroactively to videos or billing cycles you have already paid for.

5. Acceptable use

You agree not to use the Service to:

• upload photos you do not own or have permission to use;
• render videos for properties you are not authorized to market;
• misrepresent property facts, condition, or location in the rendered output;
• generate content that is fraudulent, defamatory, harassing, or otherwise unlawful;
• attempt to reverse-engineer, scrape, or overwhelm the Service;
• copy, modify, decompile, disassemble, or create derivative works of the Vistalia software, or use the Service to build or train a competing product or model;
• resell or sublicense the Service without a written reseller agreement.

We reserve the right to suspend or terminate accounts that violate these rules, with or without notice depending on severity.

6. Your content and our content

6.1 Your content.

You retain ownership of the listing photos, brand assets, and account data you upload ("Your Content"). You grant Vistalia a non-exclusive, worldwide license to host, process, and display Your Content solely to operate the Service for you. We do not use Your Content to train any machine learning model.

6.2 Rendered videos.

To the extent we hold the rights necessary to grant it, you own the videos that the Service renders for you, and you receive a worldwide, royalty-free, perpetual right to use, display, and distribute them to market real estate. We retain a copy in your account library and any infrastructure caches as long as your account is active. Account deletion removes the rendered videos from our systems within 30 days.

6.3 Our IP and your license to use the Service.

The Vistalia software, brand, trademarks, AI Motion Director model, prompts, templates, and music library remain our exclusive property. Nothing in these Terms transfers Vistalia's intellectual property to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service to market your own real estate listings. You may not copy, modify, decompile, reverse-engineer, or create derivative works of the software, nor use it to build a competing product.

6.4 Voice cloning.

If you use the voice-clone feature, you represent that the voice sample you record is your own voice (or a voice you have documented, written permission to clone) and you consent to our creating a synthetic voice model from it. Your cloned voice is used solely to narrate videos rendered under your account and is never shared with other users, used in our marketing without your separate written consent, or used to train unrelated models. You may delete your cloned voice at any time from Settings; deleting your account deletes it as well. You may not use the feature to clone, imitate, or impersonate any voice that is not yours to authorize.

6.5 Feedback and enhancements.

If you send us feedback, suggestions, or ideas about the Service, you grant Vistalia a perpetual, irrevocable, worldwide, royalty-free license to use them for any purpose without restriction, attribution, or compensation. All enhancements, modifications, and improvements to the Service are and remain Vistalia's exclusive property. This does not affect your ownership of your rendered videos under Section 6.2.

7. AI-generated content disclaimer

Vistalia uses third-party AI providers (currently fal.ai, OpenAI, Google, and ElevenLabs) to generate motion, classify scenes, verify output, and synthesize narration. AI output is non-deterministic and can occasionally introduce visual artifacts that misrepresent a property (for example, morphed appliances or invented objects). It is your responsibility to review every render before publishing. Our safeguard pipeline — per-scene verification against your photos and MLS-safe rendering modes — reduces hallucination risk but does not eliminate it. Vistalia is not liable for damages arising from inaccurate rendered output that you publish.

8. MLS and fair-housing compliance

You are solely responsible for ensuring the videos you publish comply with your local MLS rules, state real estate licensing law, and the federal Fair Housing Act. Our outro card displays your license number and the Equal Housing Opportunity mark when configured; this does not constitute legal certification.

9. Service availability

We aim for high uptime but provide the Service "as is" and "as available" without warranty. Scheduled maintenance, render-engine outages, and third-party API limits (fal.ai, OpenAI, Google, ElevenLabs, Supabase, Stripe) may temporarily affect availability. Our liability is limited as set out in Section 11.

10. Termination

You can stop using the Service at any time. We may suspend or terminate your access for violation of these Terms, non-payment, or risk to other users. On termination, Sections 6, 7, 11, 12, and 13 survive.

11. Limitation of liability

To the maximum extent permitted by law, Vistalia's aggregate liability arising out of or relating to the Service in any 12-month period will not exceed the greater of (a) the fees you paid us in that period or (b) one hundred US dollars ($100). Vistalia will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, lost revenue, or lost data, even if we have been advised of the possibility.

12. Indemnification

You agree to indemnify and hold Vistalia harmless from any claim arising out of (a) Your Content, (b) your violation of these Terms, or (c) your violation of any law or third-party right (including MLS or fair-housing rules).

13. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, without regard to conflict-of-laws rules. Any dispute will be resolved in the state or federal courts located in Maricopa County, Arizona, and you consent to personal jurisdiction there.

14. Changes to these terms

We may update these Terms from time to time. Material changes will be announced by email at least 14 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance.
